These terms summarize how Nurvivo is offered. Specific terms in a signed order form or BAA take precedence over this page.
1. Acceptance of terms
By creating a Nurvivo account or using the service, you agree to these terms. If you accept on behalf of a clinic, you confirm you have authority to bind it.
2. Eligible use
Nurvivo is a tool for licensed healthcare practitioners. You are responsible for using it within your jurisdiction's scope-of-practice rules and for the accuracy of clinical decisions. Nurvivo's output is a draft for clinician review, not a substitute for clinical judgment.
3. Accounts and security
You're responsible for safeguarding your account credentials and for activity under your account. Notify us promptly of any unauthorized access.
4. Subscriptions and billing
Paid plans renew automatically until cancelled. You may cancel at any time from your account; cancellation takes effect at the end of the current billing period. Refunds are governed by your order form or the cancellation policy in effect at signup.
5. Acceptable use
Don't use Nurvivo to violate laws, infringe rights, attempt to reverse-engineer the service, or submit data you don't have the right to process. We may suspend accounts that materially breach this policy.
6. Data ownership and processing
You retain ownership of clinical data you submit. We process it as your service provider (and, for US customers, as a HIPAA business associate under a BAA). See the Privacy Policy for residency and retention.
7. Service availability
We aim for high availability and follow industry-standard operational practices. Specific uptime commitments, if any, are in your order form. The service is provided on an "as is" basis except where applicable law requires otherwise.
8. Limitation of liability
To the maximum extent permitted by law, Nurvivo and Progranza Inc. are not liable for indirect, incidental, or consequential damages. Aggregate liability for any claim arising from the service is limited to the fees paid in the 12 months preceding the claim.
9. Governing law
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Disputes that cannot be resolved informally will be brought in courts located in that jurisdiction.
10. Changes
We may update these terms; the latest version lives at this URL. Material changes are communicated by email or in-product notice.
